These Terms and Conditions (“T&C”) govern your purchase or use of any paid Service offered by Resolvify, including our dispute resolution facilitation services and our Courses and Certifications. They apply in addition to, and take precedence over, our Terms of Use for any matter specific to a Service you have purchased or enrolled in (such as fees, refunds, cancellation, or service delivery). Your general access to and conduct on the Platform remains governed by our Terms of Use.

By proceeding with the relevant purchase, enrolment, registration, access, or use, you expressly accept these T&C. If you do not agree to these T&C, you must not purchase, enrol in, register for, access, or use the relevant Service or offering.

- “Services” means, collectively, all services, products, programmes, courses, certifications, training, consultancy, dispute resolution, mediation, arbitration, Online Dispute Resolution (“ODR”), Learning Management System (“LMS”), and any other offerings made available, provided, or facilitated by or through Resolvify, whether currently offered or introduced from time to time.
- “Engagement” means a specific instance of a User availing a Service, whether a Course enrolment or a dispute resolution matter.
3. Our Services
Resolvify may offer, provide, facilitate, or arrange a range of Services, which may include, without limitation:
- Dispute Resolution Services: Services relating to mediation, arbitration, Online Dispute Resolution (“ODR”), case intake, document exchange, scheduling, case administration, and other dispute resolution-related support. Unless expressly agreed otherwise in a specific engagement, Resolvify acts solely as a facilitator or platform/service provider and does not itself act as a mediator, arbitrator, or legal counsel. Nothing provided by Resolvify shall be construed as legal advice.
- Courses, Training and Certifications: Live or recorded lectures, workshops, training programmes, certification programmes, and other educational or professional development offerings. Unless otherwise expressly permitted by Resolvify, access to such content is granted on a limited, non-exclusive, non-transferable, revocable licence for personal and non-commercial use. You may not download, copy, record, reproduce, distribute, resell, sublicense, share login credentials, or otherwise commercially exploit such content, except with Resolvify’s prior written permission or where expressly permitted through the applicable Service.
- Other Services and Offerings: Resolvify may also offer or introduce, from time to time, consultancy, technology-enabled services, professional services, administrative support, platform-based services, or any other products or offerings, whether independently or in collaboration with third parties. The specific terms applicable to any such Service may be set out separately and shall apply in addition to these T&C.
Resolvify may engage or appoint third-party instructors, mediators, arbitrators, consultants, professionals, service providers, or other independent persons to provide or support any Service. Such persons may act independently, and unless expressly stated otherwise, their professional opinions, advice, decisions, representations, or conduct shall not be deemed to constitute representations or opinions of Resolvify.
4. Enrolment and Certifications
Enrolment in a Course is confirmed upon payment of the applicable fee (where paid) and your acceptance of these T&Cs. You are responsible for ensuring that you have the technical requirements (including a suitable device, internet connectivity, and any required software) necessary to access and participate in a Course.
Upon successfully completing the applicable assessment, attendance, or other course requirements, Resolvify may issue a Certification. Unless expressly stated otherwise, a Certification is issued solely by Resolvify and does not constitute a degree, diploma, licence, statutory qualification, or qualification recognised by any regulatory, professional, or educational authority, and does not guarantee employment, professional accreditation, or any particular professional outcome.
You agree to complete all assessments honestly and independently. Resolvify reserves the right to withhold, suspend, or revoke a Certification where it reasonably determines that the Certification was obtained or sought through fraud, plagiarism, impersonation, cheating, misrepresentation, or other dishonest or unethical conduct.
Resolvify may modify, update, suspend, or discontinue a Course, including changes to instructors, course structure, content, assessment methods, or delivery format, at its discretion, with reasonable notice to enrolled Users where practicable.
Resolvify is not responsible or liable for any unauthorised, unethical, unlawful, defamatory, misleading, infringing, or otherwise improper content, publication, communication, or material uploaded, submitted, shared, or distributed by Users, instructors, or other third parties on or through the Platform, except to the extent such liability cannot be excluded or limited under applicable law.
5. Client Responsibilities for Dispute Resolution Services
Where you engage Resolvify’s Dispute Resolution Services, you agree to provide accurate and complete information about your dispute, cooperate in good faith with the process, and comply with any procedural timelines communicated to you. Resolvify is not responsible for delays or adverse outcomes arising from incomplete or inaccurate information provided by you or the counterparty.
6. Fees and Payment
All applicable fees for the Services or Courses will be communicated to you at the time of purchase or enrolment. You agree to pay the applicable fees in full in accordance with the payment terms specified by Resolvify.
Unless expressly stated otherwise, all fees paid to Resolvify are non-refundable and non-transferable. Once a Course enrolment or Service engagement has been confirmed, no refund, cancellation, or credit will be provided, including in the event of non-attendance, non-participation, failure to complete a Course, or discontinuation of use of the Services by you.
Resolvify reserves the right to revise its fees from time to time. Any revised fees will apply only to new purchases or enrolments made after the revised fees take effect and will not affect fees already paid for a confirmed Course or Engagement
7. Confidentiality
Both parties agree to keep confidential any non-public, proprietary, or sensitive information disclosed in connection with a Service, including case-related documents, communications, and Course assignment submissions, and shall not disclose it to any third party except as required by law, with your consent, or as necessary to deliver the Service (for example, to a mediator or arbitrator).
8. Service-Specific Disclaimers
Content and materials provided through Resolvify’s Courses and educational services are for general educational and informational purposes only and do not constitute legal or professional advice. Resolvify’s ODR Services are technology-enabled facilitation services, and unless expressly agreed otherwise, Resolvify does not act as a mediator, arbitrator, or legal adviser. Resolvify does not guarantee any particular outcome from any Course or ODR Service, as outcomes depend on the applicable process, circumstances, and decisions of the relevant parties or neutral.
9. Limitation of Liability and Indemnification
To the maximum extent permitted by law, Resolvify’s aggregate liability arising out of or relating to a Service shall not exceed the amount you paid us for that specific Service in the twelve (12) months preceding the claim, and we shall not be liable for indirect, incidental, or consequential damages. You agree to indemnify Resolvify against claims, losses, and expenses arising from your breach of this T&C or your misuse of a Service.
10. Term, Termination and Force Majeure
A Service shall remain in effect for the duration specified at the time of enrolment or engagement, unless completed, cancelled, suspended, or terminated earlier in accordance with these T&C.
Resolvify may suspend or terminate your access to a Service in the event of any breach of these T&C or misuse of the Service. Any refund or cancellation arising from such suspension or termination shall be subject to the Fees and Payment provisions under Clause 6.
Resolvify shall not be liable for any delay or failure in providing a Service caused by circumstances beyond its reasonable control, including natural disasters, government actions, internet or infrastructure failures, technical disruptions, or other events beyond its reasonable control.
11. Dispute Resolution and Governing Law
These T&C shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or in connection with these T&C or any Service shall first be attempted to be resolved amicably through good-faith negotiations between the parties. Such negotiations shall commence from the date on which a written notice of the dispute is received by the other party. If the dispute is not resolved within thirty (30) days from the date of receipt of such notice, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
The arbitration shall be conducted by a sole arbitrator, seated in Delhi, India, and conducted in English. The courts at Delhi, India shall have exclusive jurisdiction over matters arising out of or in connection with these T&C or any Service, subject to the arbitration provisions set out above.
12. Amendments and Contact
We may update this T&C at any time by posting a revised version on the Platform; changes will not affect Services already purchased or in progress unless required by law. This T&C, together with our Terms of Use and Privacy Policy, forms the entire agreement between you and Resolvify; if any provision is held invalid, the remaining provisions continue in effect.
